St John of God Health Care’s governance structures are guided by best-practice principles that support innovation, growth and responsible stewardship. They provide clear accountability and control, ensuring that risks are effectively managed while fostering excellence across our organisation.
Our approach
Our governance approach is informed by the principles outlined in the:
- ASX Corporate Governance Principles and Recommendations (4th Edition) published by the ASX Corporate Governance Council.
- Not-for-Profit Governance Principles (2nd edition) published by the Australian Institute of Company Directors.
We operate a two-tiered governance structure comprising Trustees and a Board.
Our Trustees
Our Trustees hold canonical responsibility for St John of God Health Care, exercising key authorities such as appointing and evaluating Board members and ensuring our ministry remains faithful to its role within the Catholic Church.
Our Board
The Board is accountable to the Trustees for health care stewardship and strategic development. In consultation with the Trustees, the Board appoints the Group Chief Executive Officer (CEO), who is responsible for the day-to-day management of our services across Australia, New Zealand and the wider Asia-Pacific region.
Our Executive Committee
Our CEO convenes and chairs the Executive Committee, a team of senior executives who provide strategic and operational advice. Performance and development of our senior executives is monitored through annual assessments.

Our governance practices promote ethical and responsible decision-making, guided by our organisational Vision, Mission, and Values.
To ensure continuous improvement, full Board evaluations are conducted every second year, alternating with targeted reviews of sub-committees. A Board education policy also supports ongoing professional development, enabling tailored learning aligned with each member’s expertise and our organisation’s evolving strategic priorities.
